Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of magktech.com and the products and services offered by MAGK, LLC ("MAGK," "we," "us," or "our") — tactical mesh networking hardware, software feature subscriptions, and managed event hosting (collectively, the "Service"). By creating an account, placing an order, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. Accounts

You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating an account and keep it up to date. You may delete your account at any time from your account's Security panel; see our Privacy Policy for what happens to your data when you do.

3. Orders and Payment

Prices for hardware, subscriptions, and hosted events are as displayed at checkout. Payment is processed by Stripe; by placing an order you authorize us to charge your chosen payment method for the full amount shown. We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or inventory unavailability.

4. Hardware Orders — Cancellation and Warranty

4.1 Self-service cancellation

You may cancel a hardware order for a full refund at any time before it enters fulfillment (i.e. before a shipping label has been created). Once an order has shipped, it can no longer be self-cancelled through your account.

4.2 Manufacturer-defect warranty claims

If your hardware has a manufacturing defect, you may file a warranty claim from your account within 90 days of your purchase date, once the order has shipped. Warranty claims are for manufacturing defects only — they are not a general right of return, and we do not offer refunds for buyer's remorse or a change of mind on hardware orders that have already shipped. Approved claims are resolved by either repairing and returning your unit or providing a replacement unit, at our discretion; there is no refund associated with a warranty claim.

5. Hosted Events

5.1 Cancellation by you

You may cancel a hosted-event booking for a refund up until 12 hours before the event's scheduled start time. The refund is your total payment minus the actual Stripe processing fee charged on your original payment and a flat $10 cancellation fee. Once inside the 12-hour window, self-service cancellation is no longer available.

5.2 Cancellation or service issues on our part

If we cancel your hosted event for reasons unrelated to a platform outage (for example, a scheduling conflict), you'll receive a full refund with no fees deducted. If a genuine technical outage on our platform affects your event, we'll issue a refund prorated to the portion of your event's booked duration that was affected, with no fees deducted — we absorb those costs, not you.

6. Subscriptions

Software feature subscriptions renew automatically at the interval and price shown at checkout until you cancel. You can manage or cancel a subscription, and view invoices and payment methods, from your account's Billing panel at any time — Stripe's billing portal handles this directly.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law permits it.
  • Resell or redistribute the Service without our prior written consent.

8. Intellectual Property

The Service, including its software, design, and content, is owned by MAGK, LLC and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY STATED IN SECTION 4.2 FOR HARDWARE MANUFACTURING DEFECTS. WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MAGK, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may stop using the Service and delete your account at any time.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

[Governing law and dispute-resolution provisions — venue, arbitration/litigation, and choice of law — require attorney input specific to where MAGK, LLC is organized and where it does business, and are intentionally left as a placeholder pending that review rather than guessed at.]
